ARTICLE I - NAME, PURPOSE, EMBLEM SECTION I - NAME The name of the club shall be Monterey Bay Mopar, herein referred to as the Club.
SECTION II - PURPOSE The Club shall operate as a nonprofit organization. The purpose of the Club is to provide Mopar owners with the opportunity to associate with other people with like interests, to promote increased interest in older Mopar cars, to make owning a Mopar an enjoyable and proud experience. It shall be a source of technical information, encourage more people to join in our hobby and assist Mopar car owners in the restoration and preservation of their vehicles by providing information, literature, and parts location assistance.
These purposes, together with our goals, are in keeping with the high standards of Mopar enthusiasts.
SECTION III - EMBLEM The Club shall create and maintain a self-identifying logo. The logo and all marks used by the club become the property and ownership of the club.
ARTICLE II - MEMBERSHIP SECTION I - MEMBERS
A. MEMBER - Any Chrysler/AMC vehicle owner eighteen years of age or older, regardless of residence or nationality shall upon approval of the General Membership and completing the application process shall become a Member. B. COMEMBER – Any eligible Member may sponsor a Co-Member. A CO-Member shall include the spouse or an immediate family member 18 years or older, residing at the same address. C. GENERAL MEMBERSHIP – The Executive Board and Members shall constitute the General Membership. D. NEW MEMBERS and CO-MEMBERS must attend 2 meeting and bring their Mopar to these meetings, before being voted into the Club. E. Members shall not exceed 200.
SECTION II - DUES AND FEES A. The General Membership shall determine annual dues and initiation fees. First year initiation fee shall be $30.00 and payable to the treasurer along with membership form. B. Yearly dues thereafter shall be $25.00 and must be paid annually to the treasurer on or before the first day of each year. Dues will be delinquent January 31st; if dues are not paid in full by February 28 the membership will be terminated. C. CO-Members fee is $10.00 and is added to a Members fees if he or she is sponsoring a CO-Member.
SECTION III - PRIVILEGES AND DUTIES A. ALL MEMBERS of the Club shall be entitled to all privileges of this Club, including: holding office, competing in club events, attending social, business and automotive events, attending regional and national gatherings and participating in Club sponsored tours. B. CO-MEMBERS will not be eligible to hold office or vote but are entitled all the other privileges of a Member.
SECTION IV - RESIGNATIONS, EXPULSIONS, REINSTATEMENTS A. RESIGNATIONS - A member may resign from the Club by giving notice to the President. B.EXPULSIONS – Each member of the club may be suspended or expelled for acts detrimental to the club by 2/3-majority vote of the General Membership present at a regular or special meeting. C. REINSTATEMENTS – A member may be reinstated to the Club by the completing the application process and a vote by the General Membership.
ARTICLE III - MEETINGS SECTION I - REGULAR MEETINGS A. ROBERT’S RULES OF ORDER shall govern the parliamentary proceedings of the club, unless otherwise provided by these Bylaws. B. Unless otherwise ordered by the Executive Board, a Club meeting and an Executive Board meeting shall be held on the 1st Thursday of each month. C. The Executive Board shall meet prior to the Regular Club meeting. SECTION II - VOTING BODY At all meetings, a quorum of the General Membership shall constitute a Voting Body
ARTICLE IV - OFFICERS AND ELECTIONS SECTION I - GENERAL A. The General Membership shall control the affairs of the Club. B. Officers shall serve for one year and may succeed themselves by election. Elections will take place the first Thursday in December of each year. C. No member may accept office for social, political or financial gain; nor may any member endorse any candidate for office on behalf of the club.
SECTION II - NOMINATIONS, ELECTIONS, VACANCIES A. The nominating Committee shall attempt to nominate two (2) candidates for each office and shall present their slate before the General Membership at an election meeting in December of each year. Additional nominations may then be made from the floor with the nominee's consent. B. Immediately following the election meeting, ballots containing all nominations shall be submitted by the Nominating Committee to every Voting Member. Returned ballots shall be counted by the at least three (3) members of the Nominating Committee in the presence of one another. Complete election results shall be announced at the December club meeting. C. Vacancies on the Executive Board by reason of death, resignation or removal shall be filled for the remainder of the year by nomination followed by a vote by the club.
SECTION III - DUTIES OF OFFICERS A. PRESIDENT shall be the Chief Executive Officer of the Club: perform all duties usually pertaining to this office and supervise the affairs of the Club. He or she shall preside at meetings of the members, the Board, and appoint committees. See that rules are observed and conduct meetings. B. VICE PRESIDENT shall assume the President's duties and authority in the event the latter is absent and or unable to act. He or she shall perform such other duties as may be assigned by the President. C. TREASURER shall receive all money belonging to the Club and promptly deposit it in the Club's bank account and/or the Club's emergency petty cash fund, disburse club money subject to the Board's approval, maintain current financial reports D. SECRETARY: The recording officer and custodian of records. Keep a record of all club proceedings, keep a file on all committee reports, keep a membership roll, make minutes and records available to members, prepare an agenda prior to meetings, record meetings, maintain record of minutes, by-laws, rules, amendments, and conduct general correspondence. Copies of each meetings minute will be made available to the General Membership. E. SERGEANT AT ARMS is responsible for setting the tone at meetings and ensuring they start on time and remains orderly. F. All Retiring or Outgoing officers shall surrender all club related property immediately.
ARTICLE V - COMMITTEES SECTION I - SELECT AND NOMINATING COMMITTEES A. Special Committees may be appointed by the President or by the Executive Board to study, recommend or act on a particular problem or project. These committees shall serve until the purpose for which they were appointed has been accomplished. B. The President shall appoint the Nominating Committee no later than November 1 of each year. This committee shall consist of 5 members, not more than 1 of which shall be an officer.
SECTION II - STANDING COMMITTEES A. GENERAL - The Club shall have appropriate committees as needed. Each committee shall serve for a calendar year or until its successor is appointed. B. ACTIVITES COMMITTEE shall stimulate enthusiasm, maintain interest and encourage good fellowship by planning, coordinating and implementing a program of automotive and social activities. C. SHOW DIRECTOR shall Co-ordinates club activities related to shows and swap meets, contact magazines, car dealers, and businesses with material relevant to the clubs car show, co-ordinates show dates and information with other Mopar clubs, provides officers meetings with ideas and suggestions relative to present and future car shows and swap meets, works with president and vice-president to co-ordinate the different committees needed to organize the shows and swap meets. D. EDITOR shall be responsible for getting the newsletter ready and in the mail by the established deadline, maintaining a supply of applications and flyers, see to special printing needs (shows, meets and projects). F. WEBMASTER shall be responsible for setting up and maintaining the Club website.
ARTICLE VI - RECORDS RETENTION All officers and committee chairmen shall maintain a complete one (1) year file of records and/or reports to be turned over to their successors. Upon election, all previous records and/or reports shall be turned over to the Historian. No records may be destroyed without the approval of the General Membership.
ARTICLE VII – REVISIONS Amendments of the Constitutions, By-laws, and Rules of Order that have been adopted may be amended each February, by a majority vote of the General Membership.
