Monterey Bay Mopar Constitution and Bylaws

ARTICLE I - NAME, PURPOSE, EMBLEM

SECTION I - NAME

The name of the club shall be Monterey Bay Mopars, herein referred to as the Club. The name of the annual car show shall be Mopars by the Bay, herein referred to as the Car Show.

SECTION II - PURPOSE

These purposes, together with our goals, are in keeping with the high standards of Mopar enthusiasts.

The Club shall operate as a non-profit organization, donating annually part of the proceeds from the Car Show, to a 501c3 non-profit organization. The purpose of the Club is to conduct an annual Car Show, provide Mopar owners with the opportunity to associate with other people with like interests, to promote increased interest in Mopar cars, to make owning a Mopar an enjoyable and proud experience.

SECTION III - EMBLEM

The Club shall create and maintain a self-identifying Club and Car Show logo. The logo and all marks used by the club become the property and ownership of the club.

ARTICLE II - MEMBERSHIP

SECTION I - MEMBERS

A. MEMBER - Any Chrysler/Dodge/Plymouth/AMC vehicle owner eighteen years of age or older, regardless of residence or nationality shall upon completing the application process, volunteer or be assigned to a Standing Committee and with the approval of the General Membership, become a member of the Club.

B. GENERAL MEMBERSHIP – The Executive Board and Members shall constitute the General Membership.

C. NEW MEMBER must complete application, pay annual fees, volunteer or be assigned to a Standing Committee.

SECTION II - DUES AND FEES

A. The General Membership shall determine annual dues and initiation fees.

B. Yearly dues shall be $40.00 and must be paid annually to the treasurer on or before the first meeting of each year. Dues will be delinquent January 31st; if dues are not paid in full by February 28, the membership will be terminated.

SECTION III - PRIVILEGES AND DUTIES
A. ALL MEMBERS of the Club shall be entitled to all privileges of the Club and the Car Show including but not limited to: voting, chairing a Standing Committee and participating in club events.

SECTION IV - RESIGNATIONS, EXPULSIONS, REINSTATEMENTS

A. RESIGNATIONS - A member may resign from the Club by giving notice to the Chairman.

B. EXPULSIONS – Each member of the club may be suspended or expelled for acts detrimental to the club by 2/3-majority vote of the General Membership present at a regular or special meeting.

C. REINSTATEMENTS – A member may be reinstated to the Club by the completing the application process and a vote by the General Membership.

ARTICLE III - MEETINGS

SECTION I - REGULAR MEETINGS

A. ROBERT’S RULES OF ORDER shall govern the parliamentary proceedings of the club, unless otherwise provided by these Bylaws.

B. Unless otherwise ordered by the Executive Board, a Club meeting shall be held on the second Thursday of each month at 6:00pm. The Executive Board shall meet prior to the regular meeting as needed.

SECTION II - VOTING BODY

At all meetings, a simple majority of the General Membership shall constitute a voting body. Voting on issues for the Club and Car Show will require a simple majority.

ARTICLE IV - OFFICERS AND ELECTIONS

SECTION I - GENERAL

A. The General Membership shall control the affairs of the Club.

B. Officers shall serve for one year and may succeed themselves by election. Elections will take place the second Thursday in December of each year.

C. No member may accept office for social, political or financial gain; nor may any member endorse any candidate for office on behalf of the club.

SECTION II - NOMINATIONS, ELECTIONS, VACANCIES

A. The Executive Board shall attempt to nominate at least one (1) candidate for each Officer and Standing Committee Chairman and shall present their slate before the General Membership at an election meeting the second Thursday in December each year.

B. Vacancies on the Executive Board by reason of death, resignation or removal shall be filled for the remainder of the year by nomination, followed by a vote by the General Membership

SECTION III - DUTIES OF OFFICERS

A. CHAIRMAN shall be the Chief Executive Officer of the Club: perform all duties usually pertaining to this office, supervise the affairs of the Club and the Car Show. He or she shall preside at meetings of the members, the Board, and appoint committees. Prepare an agenda prior to meetings, see that rules are observed and conduct meetings.

B. CO CHAIRMAN shall assume the Chairman’s duties and authority in the event the latter is absent and or unable to act. He or she shall perform such other duties as may be assigned by the Chairman.

C. TREASURER shall receive all money belonging to the Club and promptly deposit it in the Club's bank account and/or the Club's emergency petty cash fund, disburse club money subject to the Executive Board's approval, maintain current financial reports, submit bank statements to the Chairman for verification prior to each monthly meeting.

D. SECRETARY: The recording officer and custodian of records. Keep a record of all club proceedings, keep a file on all committee reports, keep a membership roll, make minutes and records available to members, record meetings, maintain record of minutes, by-laws, rules, amendments, and conduct general correspondence. Copies of each meetings minute will be made available to the General Membership.

E. All Retiring or Outgoing officers shall surrender all club related property immediately.

ARTICLE V - COMMITTEES

SECTION I - SELECT AND NOMINATING COMMITTEES

A. The Executive Board shall attempt to nominate at least one (1) candidate for each Officer and Standing Committees and shall present their slate before the General Membership at an election meeting the second Thursday in December each year.

SECTION II - STANDING COMMITTEES

The Club shall have Standing Committees; members of the Club shall volunteer or be appointed by the Chairman to serve as a Chairperson for one of the Standing Committees. The Chairperson shall conduct business for the Club and the Car Show. The Standing Committee Chairperson shall serve for one year and may succeed them selves by volunteering or by appointment.

A. ACTIVITIES COMMITTEE CHAIRPERSON through his or her committee shall plan and co-ordinate events for the Club members to include but not limited to club runs, picnics and clinics.

B. ADVERTISING COMMITTEE CHAIRPERSON through his or her committee shall contact news media to advertise the Club and Car Show events

C. CAR CENTRAL COMMITTEE CHAIRPERSON through his or her committee shall handle raffles, food, entertainment, souvenirs and general information at Car Show

D. MEMBERSHIP COMMITTEE CHAIRPERSON through his or her committee shall recruit new members, provide membership applications, collect fees, keep an updated membership roll and submit copies of the updated membership roll to the Chairman and Secretary.

E. PARKING COMMITTEE CHAIRPERSON through his or her committee shall organize and control traffic flow to and from the car show, chart and control parking in and around the Car Show

F. REGISTRATION COMMITTEE CHAIRPERSON through his or her committee shall obtain participants registration for the Car Show, document and confirm signups, receive fees and turn over to the treasurer such fees collected, for the Car Show.

G. SPONSOR COMMITTEE CHAIRPERSON through his or her committee shall obtain sponsors for the Car Show

H. WEBMASTER shall be responsible for setting up and maintaining the Club website.

ARTICLE VI - RECORDS RETENTION

All officers and committee chairmen shall maintain a complete one (1) year file of records and/or reports to be turned over to their successors. Upon election, all previous records and/or reports shall be turned over to the Historian. No records may be destroyed without the approval of the General Membership.

ARTICLE VII – SCHOLARSHIPS

The Executive Board shall provide up to two (2) Scholarships per year to members of the Club. Scholarships are for one (1) year and the same member receiving a scholarship will not be eligible the following year.

ARTICLE VIII – REVISIONS

Amendments of the Bylaws and Rules of Order that have been adopted may be amended by a simply majority vote of the General Membership.
